(“Quick Square”)

1. Scope of Services

Quick Square agrees to provide one or more of the following services as selected by Client:

A. Website Development

Design, development, and launch of a website using WordPress and related tools. Scope, features, and deliverables will be defined verbally, via proposal, or written communication and incorporated into this Agreement.

B. Website Hosting, Support & Maintenance (Monthly)

Ongoing services may include:

  • Website hosting and uptime monitoring
  • Plugin and platform updates
  • Security monitoring
  • Minor content updates and technical support
  • Consulting and guidance

C. Marketing & Consulting Services (Monthly)

May include:

  • Website content strategy and updates
  • SEO and Google Business Profile support
  • Story/content development
  • Marketing consulting and advisory

D. Quick Success Stories Platform (Software License)

Access to Quick Square’s proprietary content platform (“Quick Success Stories”), including:

  • Story intake forms and workflows
  • Content generation and publishing tools
  • Hosting and system access

Quick Square may update, modify, or improve the platform at its discretion.

2. License Grant (Software Only)

If Client subscribes to Quick Success Stories:
Quick Square grants Client a non-exclusive, non-transferable license to use the platform for internal business purposes.
Client agrees:

  • Not to reverse engineer, copy, or replicate the platform
  • Not to resell or sublicense access without written approval
  • That all intellectual property remains owned by Quick Square

3. Fees & Payment

Fees are defined at the time of engagement and may include:

A. Setup Fees (One-Time)

B. Monthly Services

C. Billing Terms

  • First invoice due upon signing
  • Monthly services billed in advance
  • Payments due upon receipt unless otherwise stated
  • Late payments may result in suspension of services

Quick Square reserves the right to adjust pricing with 30 days notice.

D. Taxes

Client is responsible for all applicable federal, state, and local taxes, including sales tax, associated with the services and software provided under this Agreement. Where required by law, Quick Square will collect and remit applicable sales tax, including sales tax imposed by the State of Ohio, which will be added to Client invoices.

4. Term & Termination

This Agreement is month-to-month unless otherwise specified.
Either party may terminate with 10 days written notice.
Upon termination:

  • All outstanding invoices remain due
  • Access to software platforms will be revoked
  • Hosting and support services will cease

5. Ownership & Intellectual Property

Client-Owned
Client owns:

  • Their website content (text, images, branding)
  • Their domain name

Quick Square-Owned
Quick Square retains ownership of:

  • Software platforms (including Quick Success Stories)
  • Systems, workflows, templates, and proprietary processes

Website Transfer
Upon termination and payment in full:

  • Website files may be transferred to Client or a third party upon request
  • Transfer assistance may be billed separately

6. Client Responsibilities

Client agrees to:

  • Provide accurate content and materials
  • Ensure rights to all submitted content
  • Not submit unlawful, infringing, or inappropriate material
  • Participate in a timely manner to avoid delays

7. No Guarantee of Results

Quick Square provides tools, strategy, and execution support.
However, no guarantees are made regarding:

  • Search rankings
  • Lead volume
  • Revenue growth

8. Limitation of Liability

Quick Square shall not be liable for:

  • Loss of data, revenue, or business interruption
  • Website downtime or third-party failures
  • Errors, delays, or interruptions beyond its control

Maximum liability shall not exceed the total fees paid by Client in the prior 12 months.

9. Indemnification

Client agrees to defend and hold Quick Square harmless from:

  • Claims related to Client’s content
  • Copyright or trademark violations
  • Products or services sold by Client

10. Third-Party Services

Websites and platforms may rely on third-party services including:

  • Hosting providers
  • Plugins and software tools
  • Google, social media, or APIs

Quick Square is not responsible for outages, changes, or failures of these services.

11. Entire Agreement

This Agreement represents the full understanding between the parties.
Any additional work outside the scope must be approved separately.
This Agreement is governed by the laws of the State of Ohio.
